Welcome to Tax2Cargo, a software-as-a-service (SaaS) platform operated by Vouchcom Ltd. Tax2Cargo is our customs declaration product available through cds.vouchcom.com. These Terms and Conditions govern your access to and use of our website and services.

Welcome to Tax2Cargo, a software-as-a-service (SaaS) platform sold by Vouchcom Ltd ("we", "us", or "our"). Tax2Cargo is our customs declaration product available through cds.vouchcom.com. These Terms and Conditions ("Terms") govern your access to and use of our website cds.vouchcom.com (the "Website") and our customs declaration software and related services (the "Service").

By registering for, accessing, or using the Service, you agree to be bound by these Terms. If you do not agree, you must not use the Service.

2. The Service

Tax2Cargo provides online tools that allow traders, customs agents, and logistics providers to create, manage, and submit customs declarations to HMRC's Customs Declaration Service (CDS) and Entry Summary Declarations (ENS) systems.

We provide access to our platform via the internet on a subscription basis. The Service is designed to assist with customs processes but does not constitute legal, tax, or customs advice.

3. Eligibility

To use our Service, you must:

  • Be at least 18 years old and able to enter into legally binding agreements;
  • Register an account and provide accurate information;
  • Have a valid EORI number if submitting customs declarations.

We reserve the right to suspend or terminate access if eligibility criteria are not met.

4. Account Registration

You are responsible for maintaining the confidentiality of your account credentials and all activities occurring under your account.

You must promptly notify us of any unauthorised use of your account.

We are not liable for any loss arising from failure to keep your credentials secure.

5. Subscriptions and Payments

Access to Tax2Cargo is provided on a subscription basis, billed monthly through our authorised payment processor, Paddle.

  • Subscription fees are displayed at checkout and are payable in advance.
  • Your subscription will automatically renew each billing period unless cancelled before renewal.
  • You may cancel renewal at any time from your account settings.
  • All prices are exclusive of VAT unless stated otherwise.
  • Paddle's Terms of Service and Privacy Policy apply to all payments.

We may modify our subscription fees with at least 30 days' notice prior to the next billing cycle.

6. Refund Policy

All payments are processed by our payment partner, Paddle, who manages billing, invoicing, and refund requests on our behalf.

  • Customers are entitled to request a refund within 14 days of purchase, in accordance with Paddle's Buyer Terms and Conditions.
  • Refund requests must be made directly through Paddle by following the instructions in your payment confirmation email.
  • Refunds are only available for the most recent billing period and may not apply if the Service has been substantially used or accessed.
  • After the 14-day period, payments are non-refundable, and subscriptions will continue until cancelled.

If you have any issues with your subscription or payment, please contact kd@vouchcom.com, and we will coordinate with Paddle to resolve your request.

7. Use of the Service

You agree to use the Service in compliance with all applicable laws, including HMRC customs regulations and UK data protection laws.

You must not:

  • Use the Service for fraudulent or unlawful purposes;
  • Reverse-engineer, decompile, or copy any part of the Service;
  • Misrepresent your identity or use another user's account.

We may suspend or terminate access for misuse or suspected breach of these Terms.

8. Data and Privacy

We process personal data in accordance with our Privacy Policy, available at cds.vouchcom.com/privacy-policy.

By using the Service, you consent to the collection and processing of your data as described therein.

We act as a data processor in relation to customs submission data you upload, and as a data controller for account-related information.

9. Service Availability

We aim to provide continuous access to the Service, but we do not guarantee uninterrupted or error-free operation.

We may temporarily suspend access for maintenance or updates, and we will make reasonable efforts to notify you in advance.

10. Intellectual Property

All intellectual property rights in the Website and Service (including software, design, and content) remain the property of Vouchcom Ltd or our licensors.

You are granted a limited, non-exclusive, non-transferable licence to use the Service for your business purposes while your subscription is active.

11. Limitation of Liability

To the maximum extent permitted by law:

  • We are not liable for any indirect, incidental, or consequential loss (including loss of profit, business, or data);
  • Our total liability for any claim under these Terms is limited to the total fees paid by you in the 12 months preceding the incident giving rise to the claim.

Nothing in these Terms limits liability for death or personal injury caused by negligence, fraud, or any liability that cannot be excluded under UK law.

12. Termination

You may terminate your subscription at any time via your account settings.

Upon termination:

  • Your access to the Service will end at the end of the paid billing period;
  • Your stored data may be deleted 30 days after termination unless legally required to retain it.

We may terminate your account immediately if you breach these Terms or misuse the Service.

13. Changes to the Terms

We may update these Terms from time to time. Any significant changes will be communicated through the Website or by email.

Your continued use of the Service after changes take effect constitutes acceptance of the new Terms.

14. Governing Law

These Terms and any disputes arising from them are governed by the laws of England and Wales.

The courts of England and Wales shall have exclusive jurisdiction.
